Terms of Service
These Terms of Service govern access to and use of the Magspy platform operated by Crossan Systems Ltd of 124 City Road, London, United Kingdom, EC1V 2NX. By creating an account, starting a subscription, or using Magspy, you agree to them.
Effective date: 26 April 2026
1. Definitions and interpretation
In these terms, "Magspy", "we", "us" and "our" mean Crossan Systems Ltd. "Service" means the Magspy website, applications, APIs, data products, exports, account areas, derived signals, scoring, classifications, alerts, saved searches and related functionality we make available from time to time.
"Content" means platform content, software, layout, documentation, source-connected records, normalised outputs, enrichments, derived fields, scores, rankings, flags, classifications and all other material made available through the service. "User" or "you" means the person or organisation using the service.
Headings are for convenience only and do not affect interpretation. References to laws include amendments, replacements and related secondary legislation in force from time to time.
2. About the service
Magspy is a company search and data intelligence platform that aggregates public and third-party source material, organises it into searchable datasets, and produces proprietary derived signals and other enriched outputs. Features may include search, filtering, exports, monitoring, saved lists, workflow tools and paid subscription access.
The service is provided on an as-is and as-available basis. We may add, remove, suspend, limit or change features, data coverage, source integrations, export limits, plans or technical methods at any time. We do not promise that the service will always be available, uninterrupted, secure, error-free or suitable for your particular purpose.
Nothing in these terms limits rights that cannot legally be excluded under applicable UK consumer law.
3. Eligibility
You must be at least 18 years old and capable of entering into a binding contract to use the service. If you use the service on behalf of a business or other organisation, you confirm that you have authority to bind that organisation to these terms.
We may refuse access, suspend onboarding or require verification if we reasonably believe you do not meet these eligibility requirements.
4. Accounts and security responsibilities
You must provide accurate, current and complete account information and keep it updated. You are responsible for all activity carried out through your account unless caused by our failure to use reasonable care and skill.
You must keep login credentials, passwords, access tokens and authentication methods confidential, use appropriate internal access controls, and notify us promptly if you suspect unauthorised access, misuse or compromise.
We may require you to adopt security measures, reset credentials, or restrict account access where reasonably necessary to protect the service, other users or our data sources.
5. Subscriptions, billing, auto-renewal, and cancellation
Free features are provided without charge and may be limited, changed or withdrawn at any time. Paid features are available on the subscription terms and pricing shown at checkout or in your account. By purchasing a subscription, you authorise us and our payment processor to collect the recurring charges, taxes and other clearly disclosed amounts due for your plan.
Unless stated otherwise at checkout, subscriptions renew automatically for successive billing periods until cancelled. You may cancel at any time through your account settings or by contacting support. Cancellation stops future renewals but does not normally affect the current paid period already started.
If you are a consumer, you may have cancellation rights under UK consumer law for distance contracts. Where you ask us to begin supplying digital services during the 14-day cooling-off period, you expressly request immediate access and acknowledge that, to the extent permitted by law, your right to cancel may be lost or reduced once access begins and the service is supplied. This does not affect any statutory rights that cannot be excluded.
Except where required by law or expressly stated by us in writing, fees are non-refundable and we do not provide pro-rata refunds for unused time, downgraded usage, partial billing periods, suspension for breach or mid-cycle cancellation. If we agree a refund, credit or adjustment, we may apply it to your original payment method or account balance.
6. Acceptable use
- You must not scrape, crawl, spider, harvest, automate access to, or bulk extract any part of the service or content, including by bots, scripts, browser automation, headless tools, agents or similar methods, except where we expressly permit it in writing.
- You must not resell, sublicense, redistribute, publish, share, expose, commercialise or otherwise make available any content, export, dataset or derived output to any third party except as expressly permitted by your plan or by us in writing.
- You must not use the service or its outputs to build, supplement, validate, benchmark or operate any competing dataset, database, model, product or service, or to recreate or attempt to recreate Magspy's database, data structure, enrichment layer, scoring logic or commercial offering.
- You must not use the service, its outputs or any exported content to train, fine-tune, evaluate, ground or test machine learning, artificial intelligence or large language models without our prior written consent.
- You must not reverse engineer, infer, decompile, probe, benchmark or otherwise attempt to discover the composition, weighting, methodology, source mapping or logic of our proprietary derived signals, scores, classifications or enrichment methods.
- You are responsible for how you use, store and share any exported data, including compliance with applicable laws, confidentiality duties and third-party rights.
- You must not bypass plan limits, security controls, rate limits, access restrictions, export restrictions or technical protections, and you must not use the service for unlawful, misleading, discriminatory or rights-infringing purposes.
7. Intellectual property
The service and all intellectual property rights in it belong to us or our licensors. This includes the platform, code, interface design, workflows, underlying structure, arrangement and selection of content, compiled records, data model, derived signals, enrichments, scores, classifications, exports, documentation and branding.
Public-source status does not give you any right to copy our platform structure, compiled database, enrichment layer or derived outputs. Our proprietary combination, cleaning, mapping, normalisation, scoring, ranking and presentation of source material is protected by applicable intellectual property, database, confidentiality and unfair competition laws.
Subject to these terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the service for your own lawful internal business purposes only, and not for resale, redistribution or commercial exploitation of the data itself, during the relevant subscription term.
8. Data sources and disclaimers
Magspy uses information from public records and other third-party sources. We do not control those sources and do not guarantee that any source material or any result generated from it is accurate, complete, current, lawful to use for your particular purpose, or free from error, omission, duplication or delay.

You are responsible for independently verifying material information before relying on it. The service is an information tool only and does not provide legal, financial, accounting, tax, credit, insurance, sanctions, compliance or other professional advice.
The service must not be used as the sole basis for credit, investment, compliance, sanctions or other regulated decisions.
To the fullest extent permitted by law, all implied conditions, warranties and representations not expressly stated in these terms are excluded.
9. Service availability
We do not provide any uptime commitment or service level agreement unless we separately agree one in writing. We may carry out maintenance, testing, repairs, migrations, security actions, source refreshes or operational changes at any time and these may affect access, speed, completeness or functionality.
The service may be unavailable because of maintenance, source-provider restrictions, internet failures, infrastructure issues, abuse prevention measures or events outside our reasonable control.
10. Termination and suspension
You may stop using the service at any time. We may suspend, restrict or terminate any account, subscription or access right immediately if we reasonably believe you have breached these terms, created legal, operational or security risk, failed to pay, misused the service or exposed us, our users or our suppliers to harm.
Where appropriate, we may investigate suspected misuse, remove or limit access to content or exports, and preserve logs or account information for legal, security or audit purposes. No refund is due for suspension or termination arising from your breach or misuse except where required by law.
11. Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.
If you are a consumer, we are responsible for losses you suffer that are a foreseeable result of our breach of these terms or our failure to use reasonable care and skill. We are not responsible for losses that are not foreseeable, for losses caused by your misuse of the service, or for business losses suffered by consumers.
If you use the service for business purposes, then to the fullest extent permitted by law we exclude liability for indirect, consequential or special loss, loss of profit, revenue, business, contracts, opportunity, goodwill, anticipated savings or data. Subject to the first sentence of this section, our total aggregate liability arising out of or in connection with the service, whether in contract, tort including negligence, misrepresentation or otherwise, is limited to the greater of the fees paid by you in the 12 months before the event giving rise to the claim and 100 pounds sterling.
12. Indemnity
You will indemnify us, our group companies, officers, employees and suppliers against losses, liabilities, damages, costs and reasonable professional expenses arising out of or in connection with your breach of these terms, unlawful use of the service, infringement of third-party rights, misuse of content, or prohibited extraction, redistribution, competitive use or model-training use by you or anyone acting on your behalf.
This section applies only to the extent permitted by law and does not require any consumer to indemnify us for losses caused by our own breach, negligence or unlawful conduct.
13. Force majeure
We are not responsible for delay, failure or interruption caused by events outside our reasonable control, including acts of God, epidemic or pandemic events, war, terrorism, civil disorder, labour disputes, failure of utilities, telecommunications or hosting providers, internet outage, cyberattack, denial-of-service attack, supplier failure, government action or interruption of public or third-party data sources.
14. Changes to the service and terms
We may change the service, plans, features, pricing, data sources and technical methods at any time. We may also update these terms from time to time. The latest version published on our website will apply from its effective date.
Where a change materially and adversely affects paying users, we will try to give reasonable advance notice unless the change is required urgently for legal, regulatory, security or abuse-prevention reasons.
15. Governing law
These terms and any non-contractual obligations arising out of or in connection with them are governed by the law of England and Wales. If you are a consumer, you may also rely on mandatory provisions of the law of the country within the United Kingdom in which you live.
If you are a business user, the courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive or similar relief in any jurisdiction where that is reasonably necessary to protect the service or our rights.
